Terms of Service

These Terms of Service ("Terms") govern your use of Nix It ("the Service"), including all Nix It websites (www.nixit.app, my.nixit.app) and associated services, operated by Cynaptic Technologies LLC ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using Nix It, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

We may modify these Terms at any time. We will provide notice of material changes by email or through the Service. Your continued use of the Service after such notice constitutes acceptance of the modified Terms.

2. Account Terms

Eligibility

You must be at least 16 years of age to use this Service. By using Nix It, you represent and warrant that you meet this age requirement.

Account Creation

• A Microsoft account is required to authenticate and use the Service
• You are responsible for maintaining the security of your Microsoft account credentials
• One person may not maintain multiple accounts
• Accounts may not be shared between multiple people

Account Responsibility

You are responsible for all activity that occurs under your account. You must notify us immediately at support@cynaptic.tech if you become aware of any unauthorized use of your account.

3. Payment and Billing

Subscription

Nix It is a subscription-based service. Payment is processed through Lemon Squeezy, our payment processor. By subscribing, you authorize us to charge your payment method on a recurring basis.

Trial Period

New users receive a 45-day free trial. During the trial period, you have full access to all features. No payment is required during the trial. At the end of your trial, you must subscribe to continue using the Service.

Pricing

Current pricing is displayed at the time of subscription. We reserve the right to change pricing with 30 days advance notice. Price changes will take effect at the start of your next billing period.

No Refunds

4. Cancellation and Termination

Cancellation by You

You may cancel your subscription at any time through your account settings or by contacting us at support@cynaptic.tech. Upon cancellation:

• Your subscription will remain active until the end of the current billing period
• No further charges will be made after the current period
• You will lose access to the Service at the end of the billing period

Account Deletion

You may request deletion of your account and all associated data at any time. Upon receiving your deletion request:

• Your account will be immediately deactivated
• All your data will be permanently deleted within 30 days
• This action is irreversible

Termination by Us for Cause

We may terminate or suspend your account immediately, without prior notice, if you:

• Violate these Terms of Service
• Engage in illegal activity using the Service
• Abuse or interfere with the Service or other users
• Fail to pay subscription fees when due

Termination by Us Without Cause

We reserve the right to terminate your account at any time, for any reason or no reason, without prior notice. If we terminate your account without cause:

• You will receive a pro-rated refund for any unused portion of your prepaid subscription period
• Your data will be permanently deleted within 30 days after termination

Service Discontinuation

We reserve the right to discontinue the Service entirely at any time, for any reason, upon 30 days' notice to all active users. In the event of service discontinuation:

• We will notify all users via email to their registered email address
• Active subscribers will receive a pro-rated refund for any unused portion of their prepaid subscription period
• Users will have 30 days from the notice date to export their data
• All user data will be permanently deleted within 30 days after the discontinuation date

5. Service Availability

We may temporarily suspend the Service for maintenance, updates, or other operational reasons. We will make reasonable efforts to provide advance notice of planned downtime when possible.

6. Intellectual Property

Your Content

You retain all ownership rights to the content you create, upload, or store in Nix It, including tasks, notes, and attachments. By using the Service, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service to you.

Our Property

The Service, including its software, design, features, and documentation, is owned by Cynaptic Technologies LLC and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use that feedback without restriction or compensation.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe on the intellectual property rights of others
• Transmit malware, viruses, or other malicious code
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or its infrastructure
• Use automated means to access the Service without our permission
• Collect or harvest information about other users
• Send spam or unsolicited communications through the Service
• Impersonate another person or entity

8. Limitation of Liability

We do not warrant that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• Any errors in the Service will be corrected
• The Service will be compatible with any particular hardware or software

Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYNAPTIC TECHNOLOGIES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Dispute Resolution

Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at support@cynaptic.tech and attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receiving your notice.

Binding Arbitration

If we cannot resolve a dispute informally, you and Cynaptic Technologies LLC agree to resolve any disputes through binding arbitration rather than in courts of general jurisdiction. Arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

The arbitration will take place in Harrisburg, Pennsylvania, or at another mutually agreed location. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver

YOU AND CYNAPTIC TECHNOLOGIES LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Unless both you and we agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

Exceptions

Notwithstanding the above, either party may bring an individual action in small claims court or seek injunctive relief in any court of competent jurisdiction for infringement of intellectual property rights.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions.

11. General Provisions

Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Cynaptic Technologies LLC regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes:

• We will update the "Last updated" date at the top of these Terms
• We will notify you by email or through the Service
• We will provide at least 30 days notice before significant changes take effect

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.
